These terms and conditions (Terms and Conditions) set out the terms on which you engage the services of PropertyAngels.Life Limited (referred to in these Terms and Conditions as “we”).
1.1. By acknowledging/signing these Terms and Conditions you agree to be bound by them.
1.2. This document should be read in conjunction with our Privacy Policy.
1.3. References to “you” and “your” relate to you as our client, whether an individual, a partnership, an LLP, a limited company or any other legal entity acceptable to us.
1.4. References to an “Angel” is to a person (including you) who subscribes to receive our services pursuant to these Terms and Conditions.
1.5. References to “Developer” are to a property developer whose profile we make available to you to help you assess whether you wish to connect with them in order to provide a loan from time to time.
1.6. References to our “Platform” means the electronic medium through which we provide access to our services, which may include our website, mobile application or such other electronic media as we may develop from time to time.
1.7. You acknowledge and understand that any loan you may make to a Developer will not amount to an investment that is subject to the UK financial services regulatory regime. Accordingly, you will not have access to the Financial Conduct Authority, the Financial Services Compensation Scheme, the Financial Services Ombudsman or any other such body in the event that you lose money on a loan or have a complaint about the Developer.
1.8. Whether you are acting on your own behalf or on behalf of a partnership, Limited Liability Partnership (LLP) or a Limited Company, by using the services provided by us then you confirm that you have read and understood these terms and conditions (or subsequently updated versions). In addition, if you are acting for a partnership, LLP or Limited Company, you confirm you are authorised to act on their behalf.
1.9. If, after reading these Terms and Conditions, you feel you are not able to act upon them, or be bound by them, then you should not proceed to access our services.
2.1. To become an Angel, the following criteria must be met:
2.1.1. you must be an individual, LLP, or Limited Company;
2.1.2. if you are an individual you must be over 18 years of age; and
2.1.3. you must have completed an up-to-date investor certification supplied by us, confirming that you qualify as a Certified High Net Worth Individual or a Self-Certified Sophisticated Investor.
2.2. In clause 2.1.3 above, the terms Certified High Net Worth Individual and Self-Certified Sophisticated Investor bear the meanings set out respectively in articles 48 and 50A of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005. These certificates relate to persons making investments in investments that are designated for the purposes of the UK financial services regime. Our introductions to Developers are not made for the purposes of the Developers issuing designated investments to you, so the statements made by you in those certificates are not relevant to any unregulated lending business you may conduct with the developers. Nevertheless, we wish to restrict access to lending activity exclusively to Angels who would meet the criteria to receive promotional materials relating to designated investments because investors who do not meet these criteria are more vulnerable to the risks of losing money on property loans.
3.1. In applying to become an Angel, as well as providing an email address, physical mailing address and contact telephone numbers, you may be requested to provide answers to additional questions in order to assist in identifying you.
3.2. We reserve the right to decline an application to become an Angel at our absolute discretion.
3.3. If we accept you as an Angel, we reserve the right not to deal with anyone whom we believe is not you, not acting with your authority or where we suspect that potentially illegal or fraudulent activities are being attempted or are being carried out.
3.4. You must immediately notify us if you suspect or discover that your identity details have been compromised. Before further actions or decisions can be taken we will re-verify your identity.
4.1. Upon acceptance as an Angel, we will provide you with log-on details to access the directory of Developers we maintain on our Platform, which will include a business profile.
4.2. If you wish to be connected to a Developer, you should submit a request to us through our Platform. We may contact you to obtain or provide further information from or to you to increase the likelihood of the connection being fruitful. Where we both agree to proceed, we will then provide you with the contact details for the Developer or otherwise effect an introduction to them.
4.3. We will use reasonable endeavours to provide a range of different Developers on our directory, but we cannot guarantee any specific volume of Developers as this is beyond our control.
4.4. We will perform basic vetting on Developers that we list in our directory, but you acknowledge that our service is merely introductory and comes without a recommendation or verification of the information provided to us by the Developers. It is your responsibility to perform your own due diligence on any given lending proposal made by a Developer and to engage professional advisers to assess the proposal where required.
5.1. You will pay us a subscription fee to access our Angel services. Our current subscription fee is £105 per season exclusive of VAT (where applicable), subject to updating on our Platform from time to time. A “season” means each calendar year, starting on 1 July and finishing on 30 June.
5.2. We will typically receive fixed fees from Developers to appear on our directory as well as a commission in respect of any loan they enter into with an Angel. You will not owe us any further amounts beyond the subscription fee referred to in 5.1 regardless of whether you lend to a Developer or not.
5.3. If you do enter into a loan or other financing arrangement with a Developer, you must provide us with the details of the relevant transaction(s) in a timely manner upon request.
6.1. If you no longer wish to be an Angel, you may simply cease to pay upcoming subscription fees and our provision of services under this Agreement will automatically terminate.
6.2. If you wish to cancel your subscription, you may do so by notifying us within 14 calendar days of subscribing. You will not be able to cancel your subscription if we have already provided you with the contact details of a Developer or if we have otherwise substantially performed part of the services referred to in clause 4.
7.1. Any notice under these Terms and Conditions from you to us should be sent to us in writing via the Platform.
7.2. Any notice under these Terms and Conditions from us to you shall be sent using the contact details you provide pursuant to clause 3 above. If your details change, it is your responsibility to notify us of such change.
8.1. We accept no responsibility for any actions you may or may not take in respect of the content on our Platform or information you may obtain from us.
8.2. Whilst we will take reasonable steps to check the accuracy of information provided by Developers we make no representation or warranty to you as to such accuracy.
8.3. When supplying or uploading information to us you undertake that you have taken all reasonable precautions to ensure the files are virus free.
8.4. We take precautions to protect our systems from viruses but if they do occur we accept no liability for them. It is your responsibility to install suitable anti-virus programmes on your devices.
8.5. Our Platform may contain links to third party websites. We accept no responsibility or liability for the contents of such websites.
8.6. We own all present and future copyright, trade marks and designs (registered and unregistered) and intellectual property rights in the Platform.
8.7. We will not be liable to you for any loss or damage you may suffer by using any of our services except where the losses or damages have arisen from our breach of these Terms and Conditions. We will not be held responsible where any breach was as a result of events or circumstances outside of our control. Our liability to you and your liability to us will be limited to the amount of the subscription fees you have paid to us. Nothing in these Terms and Conditions shall exclude or restrict any liability which cannot be lawfully excluded.
8.8. From time to time we may amend or vary these Terms and Conditions and will inform you when we do so.
8.9. If any part of these Terms and Conditions is found to be illegal, invalid or unenforceable by any court or regulatory authority, the remainder shall continue in full force and effect. No single or partial exercise, or failure or delay in exercising any right, power or remedy by either you or us shall constitute a waiver by either party or preclude any further exercise of that, or any right, power or remedy arising under these Terms and Conditions
8.10. These Terms and Conditions are governed by English law and the courts of England will have non-exclusive jurisdiction to settle any disputes that may arise in relation to them.
